11. Children's Privacy

HRsForU is a B2B enterprise platform intended exclusively for use by registered companies and their adult employees (18 years of age and above). We do not knowingly collect or process personal data of individuals below 18 years of age. If we discover such data has been provided, it will be deleted immediately upon identification.

12. Cross-Border Data Transfer

All primary data is stored in AWS Mumbai (ap-south-1) within the territory of India. Any data transfer outside India (e.g., email delivery via international SMTP providers) is conducted strictly in compliance with Section 16, DPDPA 2023 and only to countries or territories notified as adequate by the Central Government of India. No personal data is transferred to non-notified countries without explicit consent or legal basis.

13. Changes to This Policy

We may revise this Privacy Policy as required by law or changes in platform functionality. Material changes (changes that affect your rights or how your data is used) will be notified by email at least 30 days before the effective date. Continued use of the platform after the effective date constitutes acceptance of the revised policy. For non-material changes (typographical corrections, formatting), updates take effect on the stated date without separate notification.

14. Governing Law & Jurisdiction

This Privacy Policy is governed by the laws of the Republic of India. Any dispute arising under or in connection with this policy shall be subject to the exclusive jurisdiction of the competent courts in Hyderabad, Telangana, India.

By creating an account, signing the Digital Agreement, or using HRsForU in any capacity, you ("Customer," "Subscriber," "you") unconditionally accept these Terms of Service. These Terms constitute a legally binding contract under the Indian Contract Act, 1872 (ICA 1872), the Information Technology Act, 2000 (IT Act 2000), and all applicable Indian statutes. If you do not agree to any part of these Terms, you must immediately stop using the platform.

1. Acceptance of Terms & Capacity to Contract

By registering, you represent and warrant that: (a) you are at least 18 years of age and legally competent to enter a contract under ICA 1872; (b) you have full authority to bind your organisation, its directors, partners, or proprietor to these Terms; (c) your use of the platform will comply with all applicable Indian laws including the Companies Act 2013, IT Act 2000, Payment of Wages Act 1936, Minimum Wages Act 1948, EPF & MP Act 1952, ESI Act 1948, Shops & Establishments Acts of applicable states, and the Income Tax Act 1961.

Corporate Binding: Registration by any employee or representative of an organisation binds the entire organisation to these Terms, even if that individual later leaves the organisation.

HRsForU is a cloud-based (SaaS) Human Resources and Payroll management platform providing: automated payroll computation with statutory deductions (PF, ESI, TDS, Professional Tax); employee lifecycle management (onboarding to exit); leave & attendance management; statutory compliance reports (Form 16, ECR, ESI returns, PT challans); employee self-service portal; HR analytics and document management.

Important Disclaimer: HRsForU is a technology tool — we are not a licensed Chartered Accountant, Company Secretary, or statutory compliance consultant. The accuracy and correctness of all statutory filings submitted using our platform is entirely the Customer's responsibility. We shall not be liable for penalties, interest, or demands raised by government authorities due to incorrect, incomplete, or late data provided by the Customer.

No Free Trial Policy: HRsForU does not offer free trials. All subscriptions require upfront annual payment. Customers are encouraged to evaluate the platform via the demo portal before subscribing. Self-serve online purchases are covered by a 14-day money-back guarantee (see Section 1A of the Refund Policy for eligibility — sales-led purchases and Enterprise subscriptions are excluded). Outside the guarantee window, refunds are only available under the narrow technical error exceptions defined in Section 9 of the Refund Policy.

HRsForU operates on annual subscription billing. No monthly billing. Customers may choose 1, 3, or 5-year upfront commitments at signup or renewal:
  • 1 year — full price for the term
  • 3 years — Year 1 at full price + Years 2-3 at 5% discount each
  • 5 years — Year 1 at full price + Years 2-5 at 10% discount each
The entire multi-year amount is payable upfront at the time of purchase.
⏰ Hard cutoff — no grace period. Access ends at exactly 11:59 PM IST on the subscription end date (Year 1 last day for 1-year plans; Year 3/5 last day for multi-year plans). There is no grace window. To avoid disruption, renew at least 7 days before expiry. Data is retained for 30 days post-expiry, after which it is permanently deleted.

5a. Paid Seat / Slot Model

HRsForU uses a paid seat (slot) model for employee billing. Each paid seat represents one employee position in your billing cycle. The following rules apply:

Example: Company signs up with 10 employees (Starter, ₹9,990/year). 65 days in, they hire the 11th employee. The pro-rated charge is ₹999 × 300/365 = ₹821.10. If they later remove any employee, that slot is freed — the next hire into that slot is free. If they then hire a 12th employee, that is a new net-new slot and triggers another pro-rated charge.

You agree that you will not, and will ensure your users do not:

Violations of the AUP may result in immediate account termination without notice and without refund. Serious violations will be reported to appropriate law enforcement authorities.

All software code, platform architecture, algorithms, user interface designs, trademarks, logos, documentation, and proprietary content of HRsForU are exclusively owned by or validly licensed to HRsForU and are protected under the Copyright Act, 1957, Trade Marks Act, 1999, and applicable Indian and international IP laws. You are granted only a limited, non-exclusive, non-transferable right to use the platform for your internal business purposes during the subscription term. Any unauthorised copying, reproduction, modification, or distribution of platform IP constitutes infringement and will be pursued legally.

9. Limitation of Liability

IMPORTANT — PLEASE READ CAREFULLY: To the maximum extent permitted under applicable Indian law: (a) Our total aggregate liability to you for all claims arising from or related to your use of the platform — whether in contract, tort, or otherwise — shall not exceed the total annual subscription fees paid by you in the 12 months immediately preceding the claim. (b) We shall not be liable for any indirect, incidental, consequential, special, or punitive damages including but not limited to: loss of profits, loss of business, loss of data, loss of goodwill, penalties or demands from government authorities (EPFO, ESIC, IT Department) arising from incorrect data you provided, or costs of procuring substitute services. (c) We make no warranty that the platform will be error-free, uninterrupted, or that statutory reports generated will be accepted without objection by government authorities.

10. Indemnification

You agree to fully indemnify, defend, and hold harmless HRsForU, its directors, officers, employees, agents, and partners from and against any and all claims, damages, losses, penalties, interest, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your violation of these Terms; (b) incorrect, false, or incomplete employee or statutory data submitted through the platform; (c) claims by your employees or ex-employees relating to payroll computations, HR actions, or data processing conducted through the platform; (d) your violation of any applicable Indian labour or data protection law; (e) your infringement of any third-party intellectual property or other rights.

11. Termination & Suspension

11A. Payroll & Salary Disbursement — Limitation of Liability

HRsForU is a payroll computation and compliance tool. It calculates net salaries, statutory deductions (PF, ESI, TDS, Professional Tax), and generates payslips, ECR files, and statutory challans. It does not initiate or execute bank transfers for salary disbursement. The actual payment of salaries to employees via NEFT, IMPS, or any other payment mode is the sole responsibility of the Customer. HRsForU shall not be held liable for:

12. Service Availability & SLA

We target 99.5% monthly uptime for the core platform. Scheduled maintenance is conducted between 2:00 AM – 5:00 AM IST with at least 24 hours' advance notice by email and in-app notification. The following are excluded from SLA calculations: AWS infrastructure incidents; Razorpay payment gateway downtime; DDoS attacks or force majeure events; maintenance windows; outages caused by Customer actions; and Internet or network connectivity issues outside our infrastructure.

HRsForU shall not be in breach of these Terms or liable for any delay or failure to perform obligations to the extent such delay or failure is caused by circumstances beyond our reasonable control, including: acts of God, earthquake, flood, fire; acts of government, war, civil unrest, terrorism; pandemic or public health emergency declared by a competent authority; AWS or cloud infrastructure failure; or Internet backbone failures. We will notify you of such events and resume performance as soon as reasonably practicable.

15. Changes to Terms

We may update these Terms at any time. Material changes (changes to payment terms, liability, or your substantive rights) will be notified by email at least 30 days before the effective date. Your continued use of the platform after the effective date of revised Terms constitutes your irrevocable acceptance of the changes. If you do not accept the revised Terms, you must discontinue use and provide written cancellation notice before the effective date.

1. Our Service Model — Why No Refunds Apply (Outside the 14-Day Guarantee)

HRsForU is a pure digital SaaS (Software-as-a-Service) product. The nature of our service is fundamentally different from physical goods. Once a subscription is activated:

Under Section 2(47) read with Section 47 of the Consumer Protection Act, 2019, and in line with established digital goods norms, refunds are not applicable to SaaS products where the service has been rendered and access has been provided.

7. GST — Non-Refundable in All Cases

GST (18%) is non-refundable under all circumstances. Once GST is collected and remitted to the Government of India under the Goods and Services Tax Act, 2017, it cannot be returned to the subscriber. Any approved refund (under the narrow exceptions in Section 9 below) will be for the base subscription amount only, excluding GST.

Courts of competent jurisdiction in Hyderabad, Telangana, India shall have exclusive jurisdiction over all non-arbitrable matters relating to this policy.
